Amended model articles of association - sole director companies

Amended model articles of association

These articles are for use by private companies limited by shares with a sole director. They are amended in response to the decision in Hashmi v. Lorimer-Wing, which challenged the validity of decisions made by a sole director in companies using the standard model articles.

The company number field should be removed if these articles are to be used when forming a new company. If the articles are being adopted for an existing company, you must add the company number in the highlighted field provided.

“Model” articles of association are the standard default articles a company can use. They are prescribed by The Companies (Model Articles) Regulations 2008.
